1. Object

The TT-Transit company publishes a platform accessible on a website, in particular at the address www.transit.techtrial.work or as a mobile application. The platform is a online platform for connecting individuals or professionals who ship containers by collaborative consolidation. In Less-than-Container-Load (LCL) form, these containers are shipped to Asia, Europe, Africa and all over the world. The goal is to act as an intermediary between these individuals or professionals involved in maritime groupage collaborative and these individuals having this need to send goods or other to these countries container destination.

The second part consists in connecting individuals traveling in various cities of the world by air (commercial flight) by making available the excess kilo of luggage in claim that they do not intend to use it for individuals who need to send a package to the passenger's destination city with more competitive prices than carriers traditional such as DHL or UPS. It should be noted that we offer accounts intended for professional carriers. These accounts managed by these professionals are subject to further verification, a guarantee of perfect reliability and professionalism.

The purpose of these general conditions of use is to regulate the access and terms of use of the Platform. We invite you to take it carefully awareness. You understand and acknowledge that TT-Transit is not a party to any agreement, contract or contractual relationship, of any nature whatsoever, concluded between the Members of its Platform.“

At the time of "Connection with Facebook" or "Registration with an email" you have to click a button. By clicking on the button, you acknowledge having taken knowledge and accept the entirety of these general conditions of use.

2. Definitions

Herein,

“Announcement” means an announcement regarding cargo posted on the Platform by a Carrier ;

“TT-Transit” has the meaning given to it in article 1 above;

“T&Cs” means these General Terms and Conditions of Use;

“Account” means the account that must be created in order to become a Member and access certain services offered by the Platform;

“Facebook account” has the meaning given to it in article 3.2 below;

“Advertiser” means the Member proposing, on the Platform, to transport goods or a parcel in return for the Contribution to Costs, for a destination and a schedule defined by him alone;

“Booking Confirmation” has the meaning given to it in article 4.2.1 below;

“Member Content” has the meaning given to it in Article 11.2 below.

“Service Fees” has the meaning given to it in Article 5.2 below;

“Member” means any natural person who has created an Account on the Platform;

“Less-than-Container-Load (LCL)” means Less Container Load, less than one full container load or groupage shipments in French. The principle is simple: if a sender does not have enough goods to completely fill a container, they will then be consolidated with other goods from other shippers

“Freight" means the price of transporting goods, but also all the goods or parcels that can be transported within a geographical territory;

“Collaborative freight" refers to the price of transporting goods, but also all of the goods or packages that can be transported within a geographical territory, all through a collaborative approach to share transportation costs;

“Transport” Means of transporting goods or packages;

“Carrier” person who undertakes to transport (goods or packages); transport contractor;

“User" means the Member who has accepted the proposal to have his goods transported or its package by the advertiser or, where applicable, the person on whose behalf a Member has booked a collaborative freight;

“Participation in Costs” means, for a given freight announcement, the sum of money requested by the advertiser and accepted by the user in respect of his participation in the costs of transportation ;

“Platform” has the meaning given to it in Article 1, above;

“Reservation” has the meaning given to it in article 4.2.1. Below ;

“Services” means all services rendered by TT-Transit through the intermediary of the Platform ;

“Site” means the website accessible at the address www.transit.techtrial.work;

“Announcement” means the carriage covered by an Announcement published by a carrier on the Platform and for which he agrees to transport goods or parcels in consideration for the Cost Contribution;

3. Registration on the Platform and creation of an Account

3.1. Platform registration conditions

The use of the Platform is reserved for natural persons aged 18 or over. All Registration on the Platform by a minor is strictly prohibited. By accessing, using or registering on the Platform, you represent and warrant that you are 18 years of age or older.

3.2. Account creation

The Platform allows Members to post and view Freight Announcements as well as interact with each other for collaborative freight booking. You can consult the Ads even if you are not registered on the Platform. However, you cannot publish an Ad or reserve a Place without having first created an Account and being became a Member.

To create your Account, you can:

(i) spit complete all the mandatory fields on the registration form;

(ii) either connect, via our Platform, to your Facebook account (hereinafter, your " Facebook account "). By using such functionality, you understand that TT-Transit will have access to, publish on the Platform and retain certain information from your Account Facebook. You can at any time remove the link between your Account and your Account Facebook through the “Verifications” section of your profile. To register on the Platform, you must have read and accepted these T&Cs as well as than the Privacy Policy.

When creating your Account, regardless of the method chosen for this do, you agree to provide accurate personal information in accordance with the reality and to update them, through your profile or by notifying TT-Transit, to ensure its relevance and accuracy throughout your contractual relationship with TT-Transit

In the event of registration by email, you agree to keep the password chosen during registration secret. the creation of your Account and not to communicate it to anyone. In case of loss or disclosure of your password, you undertake to inform TT-Transit thereof without delay. You are alone responsible for the use made of your Account by a third party, as long as you have not expressly notified TT-Transit of the loss, fraudulent use by a third party or disclosure of your password to a third party.

You agree not to create or use, under your own identity or that of a third party, other Accounts than the one initially created.

3.3. Verification

TT-Transit may, for purposes of transparency, confidence building, or prevention or fraud detection, set up a verification system for some of the information you provide on your profile. This is especially the case when you fill in your phone number.

You acknowledge and agree that any reference on the Platform or the Services to so-called "verified" information or any similar term, only means that a Member has successfully passed the existing verification procedure on the Platform or the Services in order to to provide you with more information about the Member with whom you are considering to travel. TT-Transit does not guarantee the veracity, reliability or validity of the information having is subject to verification.

4. Use of the Services

4.1. Publication of announcements

As a Member, and provided that you meet the conditions below, you may create and post Ads on the Platform indicating information as to the Freight you intend to carry (dates/times and places of departure and arrival, number of kilo or cubic meter made available, options offered, price per kilo or cubic meter, etc.).

When publishing your Ad, you can add any other information likely to be of interest to users.

You are the holder of the freight reservation;

You only offer advertisements after having reserved and carried out all the necessary formalities with freight forwarders, freight forwarders, shipping company or airline.

You do not intend to publish another advertisement for the same freight on the platform;

You do not put more kilos or cubic meters than those available in your container or checked baggage available.

You comply with all IATA and IMO regulations necessary for transport of merchandise.

You acknowledge that you are solely responsible for the content of the Announcement that you publish on the Platform. Accordingly, you represent and warrant the accuracy and truthfulness of any information contained in your Ad and you undertake to carry out the transport according to the terms described in your Ad.

Provided that your Ad complies with the T&Cs, it will be published on the Platform and therefore visible to Members and all visitors, even non-Members, carrying out a search on the Platform. TT-Transit reserves the right, at its sole discretion and without notice, to not to publish or remove, at any time, any Ad that does not comply with the T&Cs or that it would consider as detrimental to its image, that of the Platform or that of the Services.

You acknowledge and agree that the criteria taken into account in the ranking and order display of your Ad among other Ads is at the sole discretion of TT-Transit.

4.2. Booking a freight

The terms and conditions for booking freight depend on the nature of the freight envisaged, TT-Transit having set up an online reservation system.

4.2.1 Transport with reservation

TT-Transit has implemented an online collaborative freight booking system (the "Reservation") for some of the Advertisements offered on the Platform (the "Advertisements with Reservation”).

The eligibility of a transport to the Reservation system remains at the sole discretion of TT-Transit, who reserves the right to modify these conditions at any time.

When a user is interested in an Ad benefiting from the Reservation, he can make an online reservation request. This Reservation request is (i) either accepted automatically (if the advertiser chose this option when publishing their Ad), (ii) is manually accepted by the advertiser. At the time of the Reservation, the User proceeds to the online payment of the amount of the Cost Contribution and the Service Fees related, if applicable. After verification of the payment by TT-Transit and validation of the Reservation request by the advertiser, if necessary, the user receives a confirmation of booking (the "Booking Confirmation").

If you are a carrier and you have chosen to manage your own requests for Reservations When publishing your Listing, you are required to respond to any Reservation request within the time limit set by the platform. Otherwise, the request for Reservation expires automatically, if applicable.

From the Confirmation of the Reservation, TT-Transit sends you the contact details of the advertiser, activates the communication channel via the platform's messaging system (if you are user) or the user (if you are the advertiser), You are now solely responsible for the execution of the contract binding you to the other Member.

4.2.2. Nominative nature of the booking of a Freight and terms of use services on behalf of a third party

Any use of the Services, whether as Advertiser or User, is personal. Both the advertiser and the user must correspond to the identity communicated to TT-Transit.

However, TT-Transit allows its Members to reserve kilos or volumes on behalf of a third. In this case, you agree to accurately indicate to the Advertiser, to the time of the Reservation or the sending of the message to the Advertiser (in the context of a transport without Reservation), the first name, age and telephone number of the person on behalf of which you book a freight.

In addition, the Platform is intended for the booking of collaborative Freight for people physical. It is therefore prohibited to reserve a Freight for the transport of an object, parcel or any material item prohibited under IATA and IMO regulations.

Furthermore, it is prohibited to publish an Ad for a Carrier other than yourself.

4.3. Notice system

4.3.1. Working

TT-Transit encourages you to leave a review on an Advertiser (if you are a User) or a User (if you are an Advertiser) with whom you have shared collaborative Freight or with which you were supposed to share a Freight.

Your opinion, as well as that left by another Member about you, if any, are not visible and published on the Platform only after the shortest of the following periods: (i) immediately after you both leave a review or (ii) pass a 14 days following the first notice.

You have the option of responding to a review that another Member has left on your profile in within 14 days of the date of the notice received. The notice and your response, if any, will be published on your profile.

4.3.2. Moderation

You acknowledge and agree that TT-Transit reserves the right not to publish or remove any review, question, comment or response that it deems content contrary to these T&Cs or applicable law.

4.3.3. Threshold

TT-Transit reserves the right to suspend your Account, limit your access to the Services or terminate these TOS in the event that (i) you have received at least three notices and (ii) the average of the reviews you have received is equal to or less than 3.

5. Financial conditions

Access to and registration with the Platform, as well as research, consultation and publication of Ads are free. On the other hand, the Reservation is payable within conditions described below.

5.1. Participation fee

The amount of the Cost Contribution is determined by you, as Carrier, under your sole responsibility.

5.2. Service charge

TT-Transit may charge, in return for the use of the Platform, fees for service to its users (below, the “Service Fees”). The user will be informed before any application of Service Fees, if any.

Service Fees allow us to operate our service, ensure the presence of our Member Relations team 7 days a week or to continue the improvement of the platform to always give you more satisfaction and better meet your needs.

The amount of Service Charges for collaborative Freight is between 0 and 15% (with a minimum of €1) of the Contribution to Carrier Costs. TT-Transit reserves the right to modify at any time the methods of calculation of the Service charge. These changes will have no effect on the Service Fees accepted by users prior to the effective date of such changes.

5.3.1. Collection mandate

By using the Platform as a Carrier for Freights with Reservation, you give TT-Transit a mandate to collect the amount of the Contribution to Costs in your name and on your behalf.

Therefore, as part of an announcement with Reservation, and after manual acceptance or automatic booking, TT-Transit collects the full amount paid by the Passenger (Service Fees and Contribution to Costs).

Cost Contributions received by TT-Transit are deposited in an account dedicated to the Carrier payment.

You acknowledge and agree that none of the sums collected by TT-Transit in the name and for the Carrier's account does not give rise to interest. You agree to respond with due diligence to any request from TT-Transit and more generally from any administrative authority or competent court in particular in matters of prevention or the fight against bleaching. In particular, you agree to provide, on simple request, any proof address and/or useful identity.

In the absence of a response from you to these requests, TT-Transit may take any action which it deems appropriate, in particular the freezing of the sums paid and/or the suspension of your Account and/or termination of these T&Cs.

5.3.2. Payment of Cost Contribution to Carrier

Following the delivery of the Freight, Users have a period of 24 hours to present a claim against TT-Transit. In the absence of a dispute on their part during this period, TT-Transit considers the Parcel or the Merchandise as delivered to the recipient.

From this express or tacit confirmation, you have, as Carrier, a credit due on your Account. This credit corresponds to the total amount paid by the User at the time of confirmation of the Reservation minus the Service Fees, i.e. at the amount of the Cost Contribution paid by the User.

When delivery to the consignee is confirmed by the Carrier via the Reservation Code, you have the possibility, as Carrier, to instruct TT-Transit to pay the money into your bank account (by informing your Account, beforehand, of your bank details) or your Paypal account (by providing information on your Account, beforehand, your Paypal email address).

The transfer order in your name will be transmitted the first working day following your request or failing your request, the first working day following the availability on your profile of the sums concerned (provided that TT-Transit has your information banking).

At the end of the applicable 5-year limitation period, any sum not claimed from TT-Transit shall be deemed to belong to TT-Transit.

6. Cancellation Policy

6.1. Refund terms in case of cancellation

TT-Transit does not offer any guarantee, of any kind, in the event of cancellation, for whatever reason.

In the event of cancellation attributable to the Advertiser, the user is reimbursed the full amount he has paid (i.e. the Cost Contribution and the related Service Fees). This is in particular the case when the User cancels a Reservation.

7. Behavior of Platform users and Members

7.1. Commitment of all users of the Platform

You acknowledge that you are solely responsible for compliance with all laws, regulations and obligations applicable to your use of the Platform.

(i) not transmit to TT-Transit (in particular when creating or updating your Account) or to other Members any false, misleading, deceptive or fraudulent;

(ii) not say anything, behave or post on the Platform no defamatory, abusive, obscene, pornographic, vulgar, offensive, aggressive, inappropriate, violent, threatening, harassing, racist, xenophobic, sexual connotation, inciting violence, discrimination or hatred, encouraging the activities or use of illegal substances or, more generally, contrary to the purposes of the Platform, likely to infringe the rights of TT-Transit or a third party or contrary to morality;

(iii) not to infringe the rights and image of TT-Transit, in particular its rights intellectual property;

(iv) not to open more than one Account on the Platform and not to open an Account on the name of a third party;

(v) not attempt to circumvent the Platform's online booking system, in particular by attempting to communicate your contact details to another Member in order to make the reservation outside the Platform and not pay the Service Fee;

(vi) not to contact another Member, in particular through the Platform, for any purpose other than defining the terms of collaborative Freight;

(vii) fail to accept or make payment outside of the Platform;

(viii) comply with these T&Cs and the Privacy Policy.

8. Commitments of Carriers

(i) comply with all applicable IMO and IATA laws, rules, codes;

(ii) publish Collaborative Freight Advertisements corresponding only to shipments actually planned;

(iii) communicate to TT-Transit or any User who so requests, the shipping information: Shipping company, Bill of lading or Bill of Landing, Airline, Booking reference as well as any document attesting to the veracity of the announcement;

(iv) in the event of impediment or change of date or time, inform without delays your Users;

(V) ensure that you can be reached by telephone by your Users, at the registered number on your profile and others;

8.1 User Commitments

(i) in the event of an impediment or unforeseen event, inform the Carrier without delay;

(ii) communicate to TT-Transit or any carrier who requests it, your identity card or any document that attests to your identity;

(iii) not to transmit any object, merchandise or substance whose nature, possession or the transport is contrary to the legal provisions in force;

(iv) ensure that you can be contacted by the Carrier by telephone, at the number recorded on your profile, especially at the meeting point.

In the event that you have made the Reservation of one or more Seats on behalf of of third parties, in accordance with the stipulations of article 4.2.3 above, you bear the compliance by this third party with the stipulations of this article and, in general, of these T&Cs. TT-Transit reserves the right to suspend your Account, limit your access to the Services or terminate these T&Cs, in the event of default on the part of the third party on whose behalf you have reserved a Place under these T&Cs.

9. Suspension of Accounts, Limitation of Access and Termination

You have the option of terminating your contractual relationship with TT-Transit at any time, free of charge and without reason. To do this, simply go to the " Account Closure” on your Profile page.

(i) terminate, immediately and without notice, these TOS; and or

(ii) prevent posting or remove any notices, Advertisements, messages, content, Booking request, or any content posted by you on the Platform; and or

(iii) limit your access to and use of the Platform; and or

(iv) temporarily or permanently suspend your Account

When necessary, you will be notified of the implementation of such a measure in order to allow you to explain to TT-Transit. TT-Transit will decide, in its sole discretion, to lift the measures put in place or not.

10. Personal data

As part of your use of the Platform, TT-Transit collects and processes some of your personal data. By using the Platform and registering as Member, you acknowledge and agree to the processing of your personal data by TT-Transit in accordance with applicable law and the provisions of the Policy of Privacy.

11. Intellectual Property

11.1. Content published by TT-Transit

Subject to the content provided by its Members, TT-Transit is the sole owner of all intellectual property rights relating to the Service, the Platform, its content (including texts, images, drawings, logos, videos, sounds, data, graphics) as well as to software and databases ensuring their operation.

TT-Transit grants you a non-exclusive, personal and non-transferable license to use the Platform and the Services, for your personal and private use and in accordance with the purposes of the Platform and the Services.

(i) reproduce, modify, adapt, distribute, publicly perform, disseminate the Platform, the Services and their content, except as expressly provided authorized by TT-Transit;

(ii) decompile, reverse engineer the Platform or the Services, under subject to the exceptions provided for by the texts in force;

(iii) extract or attempt to extract (in particular by using vacuum robots of data or any other similar data collection tool) a substantial part of the Platform data.

11.2. Content posted by you on the Platform

(i) you authorize TT-Transit to reproduce all or part of your Member Content on any digital recording medium, known or unknown to date, and in particular on any server, hard disk, memory card, or any other equivalent medium, in any format and by any process known and unknown to date, to the extent necessary for any storage, backup, transmission or download operation related to the operation of the Platform and the provision of the Service;

(ii) you authorize TT-Transit to adapt and translate your Member Content, as well as to reproduce these adaptations on any digital medium, current or future, stipulated in (i) above, for the purpose of providing the Services, in particular in different languages. This right includes in particular the ability to carry out, in compliance with your moral rights, changes to the formatting of your Member Content for the purpose of complying with the graphic charter of the Platform and/or to make it technically compatible with a view of its publication via the Platform.

12. Role of TT-Transit

The platform constitutes an online platform for connecting individuals or professionals who ship containers by groupage mainly 20 'HC or 40' HC in Asia, Europe, Africa and all over the world. The purpose is to serve as an intermediary between these individuals or professionals involved in maritime groupage collaborative and these individuals having this need to send goods or other to these countries container destination.

The platform constitutes an online networking platform on which Members can create and publish Collaborative Freight Announcements. These Collaborative Freight announcements may in particular be consulted by other Members to find out about the terms of the Freight and, if necessary, book directly with the Member who posted the announcement of Collaborative Freight on the Platform.

By using the Platform and accepting these T&Cs, you acknowledge that TT-Transit is not a party to any agreement between you and other Members to share costs relating to a Freight.

TT-Transit has no control over the behavior of its Members, their employees, and Platform users. It does not own, operate, provide or manage the Collaborative Freight of Ads, nor does it offer any Collaborative Freight on the Platform. You acknowledge and agree that TT-Transit does not control the validity, veracity or Legality of Ads. As a Collaborative Freight intermediary, TT-Transit does not provide no transport service and does not act as a carrier, the role of TT-Transit is limiting to facilitating access to the Platform.

In the context of collaborative Freight, the Members (Carriers or Users) act under their sole and entire responsibility, in particular in accordance with the provisions of the civil code relating to the law of obligations and contractual civil liability( article 1101 and followingof the Civil Code).

(i) erroneous information communicated by the Carrier, in its Announcement, or by any other means, as to the Freight and its terms;

(ii) the cancellation or modification of a Freight by a Member or User;

(iii) the behavior of its Members during, before or after the Freight.

13. Operation, availability and functionalities of the Platform

TT-Transit will do its best to keep the Platform accessible 7 days a week and 24 hours a day. However, access to the Platform may be temporarily suspended, without notice, due to technical operations of maintenance, migration, updates or due to breakdowns or constraints related to the operation of the networks.

In addition, TT-Transit reserves the right to modify or discontinue, at its sole discretion, temporarily or permanently, all or part of the access to the Platform or its features.

14. Modification of the T&Cs

These TOS express the entire agreement between you and TT-Transit relating to your use of the Services. Any other document, in particular any mention on the Platform (FAQ, Blog, etc.), has only informative value

TT-Transit may modify these General Terms and Conditions of Use in order to to adapt to its technological and commercial environment and in order to comply with the current regulations. Any modification of these T&Cs will be published on the platform with a mention of the update date and you will be notified by TT-Transit before its entry into force

15. Applicable law – Dispute

These Terms are written in French and subject to French law.

You can also present, if necessary, your complaints relating to our Platform or to our Services, on the dispute resolution platform put online by the Commission Accessible Europeanici.ici.

In accordance with articles of the consumer code L.611-1 and following, it is expected that for any dispute of a contractual nature that could not be resolved in the context of a complaint previously introduced to our customer service, you can, in your capacity as consumer, have free recourse to mediation by contacting the National Association of Mediators (ANM) either by mail by writing to 62, rue Tiquetonne 75002 PARIS or by e-mail by completing the online referral form at the following address: www.anmconso.com

The Platform is published by the company TT-Transit, a company registered in the Register of Commerce et des Sociétés du Havre, under Siren number 889947040 (VAT number intracommunity: FR37889947040) whose head office is located at 64, rue Hilaire Colombel - 76600 Le Havre (France) (email: info@tt-transit.com, tel: 09.81.72.16.98). The Site is hosted on Amazon Web Service (AWS) servers.
